Terms of Service
DRAFT — PENDING LEGAL REVIEW. This document is an engineering-stage draft prepared to fix broken links and give counsel a concrete starting point. It is not legal advice and has not been reviewed or approved by a licensed attorney. Do not represent it as final or rely on it until counsel has reviewed and approved it (the G4 pre-launch gate). Bracketed items [like this] require your input or counsel's decision.

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Service") provided by [LegalNerds entity — e.g., LegalNerds, Inc.] ("LegalNerds," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What LegalNerds Is — and Is Not
LegalNerds is an AI-powered legal information and self-help platform. The Service helps you understand legal procedures, organize your matter, prepare documents, and identify relevant deadlines and authorities.
LegalNerds is not a law firm, and we do not practice law. Your use of the Service does not create an attorney-client relationship between you and LegalNerds or any of its personnel. The Service does not provide legal advice, legal representation, or legal opinions, and nothing the Service produces should be treated as a substitute for advice from a licensed attorney admitted in your jurisdiction.
The Service is intended as a tool to help you help yourself ("self-help"). You remain solely responsible for your legal matters, your decisions, and any filings or actions you take.
2. AI-Generated Content
Substantially all guidance, explanations, document drafts, and other content the Service provides are generated by artificial intelligence. AI-generated content:
- may be incomplete, out of date, or incorrect, including by stating laws, deadlines, citations, or procedures that are wrong or inapplicable to your situation;
- is presented in an expert, authoritative voice as a product design choice — that presentation is not a representation that a licensed attorney has reviewed your matter or is providing advice;
- must be independently verified by you, and where your matter is significant, reviewed with a licensed attorney, before you rely on it.
We employ verification tooling and human review in parts of the Service, but we do not guarantee the accuracy, completeness, or fitness of any output for your particular circumstances.
3. Not a Substitute for a Licensed Attorney
You should consult a licensed attorney in your jurisdiction for advice about your specific situation, and you should do so promptly where your matter involves deadlines, court appearances, significant rights or sums, criminal exposure, or any circumstance where an error could cause material harm. The Service may suggest when professional counsel is advisable, but the absence of such a suggestion is not an indication that counsel is unnecessary.
4. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate.
5. Your Responsibilities
You agree to:
- provide accurate and complete information, and keep it current;
- use the Service only for lawful purposes and your own legal matters (or those you are authorized to handle);
- independently verify any output before relying on it, and obtain professional counsel where appropriate;
- maintain the confidentiality of your account credentials and remain responsible for activity under your account.
You agree not to use the Service to engage in the unauthorized practice of law, to provide legal services to third parties, to violate any law, or to misuse, reverse-engineer, scrape, or overload the Service.
6. Accounts, Subscriptions, and Payment
Certain features require a paid subscription or one-time purchase, processed through our third-party payment processor, Stripe. By purchasing, you authorize us (through Stripe) to charge your payment method for the applicable fees.
- Billing and renewal. Subscriptions renew automatically for successive periods unless cancelled before the renewal date. [Confirm billing periods and tiers.]
- Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period.
- Refunds. [State refund policy — e.g., no refunds except as required by law, or a stated window.]
- Price changes. We may change fees prospectively; we will provide notice as required.
You are responsible for all applicable taxes.
7. Intellectual Property
The Service, including its software, design, text, and underlying schemas and prompts, is owned by LegalNerds and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own legal matters in accordance with these Terms.
You retain ownership of the information and materials you submit ("Your Content"). You grant us a license to use Your Content as needed to operate and improve the Service, including to process it through the third-party providers described in our Privacy Policy. [Counsel: confirm scope of the improvement/training license, if any, and align with Privacy Policy.]
8. Disclaimers of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALNERDS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR RELIANCE ON ANY OUTPUT, LOSS OF A LEGAL RIGHT OR CLAIM, MISSED DEADLINE, OR ADVERSE OUTCOME IN ANY MATTER. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF [the amount you paid us in the 12 months before the claim] OR [$100]. [Counsel: confirm cap and any consumer-law carve-outs.]
10. Indemnification
You agree to indemnify and hold LegalNerds harmless from claims arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. [Counsel: choose venue — e.g., state and federal courts located in [County], Texas — and decide whether to include a binding arbitration clause and class-action waiver. Arbitration provisions have specific drafting and enforceability requirements; leave to counsel.]
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and your continued use after the effective date constitutes acceptance.
13. Termination
We may suspend or terminate your access for violation of these Terms or as otherwise necessary. You may stop using the Service at any time.
